IHS Holding is taking decisive steps to finalize the restructuring of its portfolio as it prepares for a landmark $6.2 billion merger with MTN Group, a move set to redefine Africa’s telecommunications infrastructure landscape.
The company is undertaking a comprehensive “cleanup” of non-core assets, a strategy designed to sharpen its operational focus and strengthen its balance sheet ahead of the merger. This process involves settling historical debts with 9mobile, ensuring all outstanding obligations are cleared, and exiting Latin American markets to concentrate fully on African infrastructure investments.
A spokesperson for IHS Holding described the divestments as “critical measures to optimize our portfolio and ensure that we are well-positioned for the scale and strategic ambitions of the merger with MTN.” They added that the restructuring is part of a broader effort to “align our operations with the regions where we can create the greatest value and impact.”
Industry analysts note that the consolidation could accelerate Africa’s telecom infrastructure development, as the combined entity will command one of the largest networks on the continent, capable of supporting expanded digital services, broadband rollout, and enhanced connectivity.
The company confirmed that while Latin American exits will reduce its global footprint, the strategic focus on Africa will allow for greater investment in network capacity, technology upgrades, and regional partnerships, positioning the merged group as a key driver of digital transformation across the continent.
IHS Holding emphasized that the merger is expected to benefit shareholders, customers, and the broader African telecom ecosystem, stating, “By concentrating our resources and expertise on African markets, we are unlocking opportunities for sustainable growth, improved service delivery, and infrastructure expansion.”
Regulators and market observers continue to monitor the merger process closely, highlighting its potential to reshape competitive dynamics in the African telecommunications sector and to accelerate the rollout of next-generation network solutions.
